THIS AGREEMENT GOVERNS YOUR ACQUISITION AND USE OF OUR SERVICES.<\/h5>\n
\n

1. ACCEPTANCE OF TERMS<\/h2>\n

NeuHR provides its Service to you, subject to the following Terms of
\nService (“TOS”), which may be updated by us from time to time without
\nnotice to you. You can review the most current version of the TOS at any
\ntime on this page.<\/p>\n<\/section>\n

2. DESCRIPTION OF SERVICE<\/h2>\n

NeuHR\u2019s provision of any Service is subject to the terms of this
\nAgreement. If the terms hereof conflict with any Service Terms, the
\nService Terms will govern with respect to the matters contemplated
\nthereby.<\/p>\n

In order to receive any Service, User must be enrolled in one of
\nthe following plans (each, a \u201cService Plan\u201d), which coincides with User\u2019s
\nPlan Selection (as defined below) or Service Plan access by<\/p>\n

    \n
  1. clicking the applicable button to indicate User\u2019s Service Plan choice
    \n(the \u201cPlan Selection\u201d);<\/li>\n
  2. clicking the applicable button to indicate User\u2019s acceptance of this
    \nAgreement (in the event that User is already enrolled in a Service
    \nPlan); or<\/li>\n
  3. accessing or using the Services. By taking any of the aforementioned
    \nactions, User agrees to be bound by the applicable Service Terms as of
    \nthe time that such action occurs.<\/li>\n<\/ol>\n<\/section>\n
    \n

    3. GENERAL CONDITIONS AND RESTRICTIONS<\/h2>\n

    Without prejudice to the other provisions of these Terms, the subscription
    \ngranted is subject to the following conditions:<\/p>\n

      \n
    1. The Services and Software must only be used by you for your own
      \ninternal business purposes.<\/li>\n
    2. To the extent permitted by law, you shall not decompile, reverse
      \nengineer, disassemble or otherwise derive the source code of the
      \nSoftware, nor permit any third party to do so, nor alter or modify the
      \nSoftware without the written consent of NeuHR.<\/li>\n
    3. The subscription to use the Services or the Software may not be
      \ntransferred to any third party without the prior written consent of
      \nNeuHR and will be subject to a third party entering into an agreement
      \nwith NeuHR to do so.<\/li>\n
    4. You are responsible for compliance with the provisions of these Terms
      \nby your agents and authorised users and for any and all activities
      \nthat occur under your account.<\/li>\n
    5. You and your authorised users are solely responsible for maintaining
      \nthe confidentiality of all login credentials for your account.<\/li>\n
    6. You shall comply with any codes of conduct, policies, guidelines or
      \nother notices implemented by NeuHR or published on our website from
      \ntime to time in connection with the Services.<\/li>\n
    7. In accessing the Service, you shall not impersonate any other person
      \nor entity, including without limitation any representative of NeuHR.<\/li>\n<\/ol>\n

      You as customer agree that you will:<\/p>\n

        \n
      1. ensure that your authorised users use the Services and the Software in
        \naccordance with these terms;<\/li>\n
      2. provide true, accurate and complete information as required by NeuHR;<\/li>\n
      3. not use the content off this website to violate any state or
        \ninternational laws or regulations and transmit any material that is
        \nabusive, defamatory, vulgar, obscene, and invasive of another person\u2019s
        \nprivacy, racially or ethnically discriminatory. You shall not use our
        \ncontent to transmit any unsolicited advertising, promotional
        \nmaterials, junk mail, spam, chain letters or material that contains
        \nadware, malware, and spyware, software viruses that have been designed
        \nto interrupt and destroy the functionality of computer software,
        \nhardware or other telecommunication equipment. Interference or
        \ndisruption of the services or servers of our network, as well as
        \ndisobedience to the requirements, policies or regulations of networks
        \nconnected to the services will not be tolerated.<\/li>\n<\/ol>\n<\/section>\n
        \n

        4. LIMITATION OF LIABILITY<\/h2>\n

        Under no circumstances shall NeuHR be held accountable for any damages
        \nsuffered by users, whether or not they are incidental, special, indirect
        \nor consequential damages. This includes but is not limited to any lost
        \nprofits or damages from the interruption of users\u2019 business, loss of
        \ninformation, programs or data that arise from the access to and use of
        \nour website.<\/p>\n

        Without limiting the foregoing, you agree and acknowledge that NeuHR\u2019s
        \ntotal liability will not exceed the total of the Fees paid (if any) by
        \nyou for your subscription during the 12-month period immediately
        \npreceding the alleged claim or cause of action.<\/p>\n<\/section>\n

        \n

        5. FEES AND CHARGES<\/h2>\n

        You shall pay NeuHR the agreed upon fees and charges set out in this
        \nService Agreement. All payments hereunder shall be made by way of
        \ncheques, bank drafts or any other payment method NeuHR may deem
        \nacceptable in its sole discretion within ten (10) days from the date of
        \nNeuHR\u2019s invoice as detailed therein except where specified otherwise.
        \nAll fees are non-refundable.<\/p>\n

        You shall pay any good and services tax or any other tax levies or
        \ncharges now or hereafter imposed by law.<\/p>\n

        For the purpose of calculating the subscription fee per month for the
        \ncurrent month, the total number of users shall be based on the total
        \nnumber of active users on the last day of the previous month, or the
        \nnumber of users stated in the Service Agreement during the minimum
        \ncontract period, whichever is higher.<\/p>\n

        NeuHR reserves the right to change the fees for its Services from time
        \nto time. Users will be notified of any change to existing fees at least
        \nthirty (30) days before the fee change goes into effect. If a fee
        \nincrease or change to this Agreement is not acceptable to User, User may
        \ncancel the Services as provided herein prior to the time when such fee
        \nincrease or change to this Agreement takes effect.<\/p>\n

        If you fail to make payment when due, NeuHR may charge you interest at
        \none and a half percent (1.5%) per month on the amounts outstanding, from
        \nthe date such payment is due until the date payment is made in full.
        \nBilling will start from the commencement date regardless of whether you
        \nhave started using the services.<\/p>\n

        If User chooses to upgrade from User\u2019s current Service Plan (the
        \n\u201cCurrent Plan\u201d) to a more expensive Service Plan (the \u201cNew Upgrade
        \nPlan\u201d), then such upgrade will promptly go into effect, and User will
        \nbegin receiving access to the features and Services available under the
        \nNew Upgrade Plan at the time of such upgrade. The fee schedule for the
        \nNew Upgrade Plan will be applied to User\u2019s Service Plan charge for the
        \ncalendar month in which User upgraded and for each calendar month
        \nthereafter for so long as User is subscribed to the New Upgrade Plan.<\/p>\n<\/section>\n

        6. REPRESENTATIONS AND WARRANTIES<\/h2>\n

        You acknowledge that your use of the Service is at your sole risk. The
        \nService is provided on an \u201cAs Is\u201d basis, and NeuHR does not make any
        \nwarranty, express or implied, with respect to the Service, including
        \nwithout limitation any implied warranty of merchantability, fitness for a
        \nparticular purpose or non-infringement of third party rights.<\/p>\n<\/section>\n

        7. COPYRIGHT AND TRADEMARK RIGHTS<\/h2>\n

        The content as provided on this website is the property of NeuHR and is
        \nprotected by copyright, trademark and other intellectual property
        \nregulations. Users are not to copy, modify, distribute, publish, sell or
        \nuse any information available through this website for commercial
        \npurposes.<\/p>\n<\/section>\n

        8. EXCHANGE AND REFUND<\/h2>\n

        All our products and services sold are non-exchangeable and
        \nnon-refundable.<\/p>\n<\/section>\n

        9. NEUHR WILL NOT BE HELD LIABLE FOR FORCE MAJEURE<\/h2>\n

        NeuHR is not responsible or liable for any delays or failures in
        \nperformance from any cause beyond NeuHR control, including, but not
        \nlimited to, acts of God, changes to laws or regulations, embargoes, wars,
        \nterrorist acts, acts or omissions of third-party technology providers,
        \nriots, fires, earthquakes, floods, power outages, strikes, weather
        \nconditions, acts of hackers, acts of internet service providers, acts of
        \nany other third party, or acts or omissions of User. Without limiting the
        \ngenerality of the foregoing or Section 18, the Platform and the Services
        \nrely on third-party technology and services, such as application
        \nprogramming interfaces, for Third-Party Services and web hosting services.
        \nAny change to the products or services offered by any of these third-party
        \nproviders may materially and adversely affect, or entirely disable, User\u2019s
        \nuse of or access to the Platform and the Services. Likewise, NeuHR cannot
        \nguarantee that any User Content hosted on a third-party server will remain
        \nsecure.<\/p>\n<\/section>\n
